1. Acceptance of Terms

By accessing or using the App, you confirm that:

1. You are at least 16 years of age (or the applicable age of digital consent in your jurisdiction).
2. You have the legal capacity to enter into a binding agreement.
3. You agree to comply with these Terms and all applicable laws and regulations.

If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Culin AI is an AI-powered recipe management and meal planning application that provides:

• AI Chat Assistant: Conversational AI for recipe discovery, cooking guidance, and meal planning.
• Recipe Management: Tools to create, organize, and manage recipes.
• Ingredient Scanning: Camera-based ingredient recognition using AI image processing.
• Meal Planning: Tools for organizing meals and creating shopping plans.

The App uses artificial intelligence models from third-party providers to deliver its core features. All user-generated content (recipes, meal plans, etc.) is stored exclusively on your device.

3. Account Registration

3.1 Account Creation

To use the App, you must create an account using Google Sign-In. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may delete your account at any time through the App's Settings. Upon deletion, your account data held on our servers will be permanently removed in accordance with our Privacy Policy. User-generated content stored on your device is managed entirely by you.

We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.

4. Subscription Plans and Payments

4.1 Subscription Tiers

The App offers the following subscription tiers:

Usage limits reset according to the applicable billing period (daily or monthly, as specified per feature and tier).

4.2 Free Trial

The Pro tier may include a 7-day free trial period. Trial eligibility is determined at the time of subscription and is limited to one trial per user. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription.

4.3 Billing and Payment

• All paid subscriptions are processed through the Apple App Store (or Google Play Store, as applicable).
• Subscriptions are billed on a monthly recurring basis.
• Payment is charged to your App Store account at confirmation of purchase.
• Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period.
• All payments are subject to the terms and conditions of the applicable app store.

4.4 Cancellation and Refunds

• You may cancel your subscription at any time through your device's app store subscription settings.
• Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
• Refunds are subject to the policies of the Apple App Store or Google Play Store. We do not process refunds directly.

4.5 Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect at the start of the next billing period following notice to you. Continued use of the App after a price change constitutes acceptance of the new pricing.

5. User Content and Data

5.1 On-Device Storage

All user-generated content — including recipes, meal plans, and related data — is created and stored exclusively on your device. We do not store, access, or have visibility into your user-generated content on our servers.

5.2 Ownership

You retain full ownership of all content you create within the App. Since your content is stored locally on your device, you are solely responsible for managing, backing up, and safeguarding your data.

5.3 AI-Generated Content

Content generated by the App's AI features (recipes, suggestions, responses) is provided "as is." You may use AI-generated content for personal purposes, subject to the following:

• AI-generated content may contain errors, inaccuracies, or omissions.
• You are solely responsible for reviewing and verifying AI-generated content before use, particularly recipes involving food preparation, dietary restrictions, or allergens.
• We do not claim ownership of AI-generated content created in response to your prompts and inputs.

5.4 AI Data Usage

Your prompts, messages, and conversations with the AI assistant are processed in real time to generate responses and are not stored on our servers. Your AI interactions are not used to train AI models. Only feedback you voluntarily submit (ratings, reports) may be stored and used to improve service quality.

5.5 Prohibited Content

You agree not to use the App to:

• Engage in any unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable activity.
• Infringe upon any third party's intellectual property rights.
• Attempt to exploit or manipulate the AI systems (prompt injection, jailbreaking, or similar techniques).
• Violate any applicable law or regulation.

We reserve the right to suspend or terminate accounts engaged in prohibited activities.

6. Acceptable Use

You agree to use the App only for its intended purposes and in compliance with all applicable laws. You shall not:

• Reverse engineer, decompile, or disassemble the App or its components.
• Attempt to gain unauthorized access to the App's systems, servers, or databases.
• Use the App to develop competing products or services.
• Circumvent or attempt to circumvent usage limits, subscription restrictions, or security measures.
• Use automated tools, bots, or scripts to access or interact with the App (other than through authorized APIs, if any).
• Resell, redistribute, or sublicense access to the App or its features.
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks.

7. AI Services Disclaimer

7.1 No Professional Advice

The App's AI features are designed to assist with recipe management and meal planning. AI-generated content does not constitute:

• Professional nutritional or dietary advice.
• Medical, health, or allergy guidance.
• Food safety certification or assurance.

Always consult qualified professionals for dietary, health, or nutrition advice. If you have food allergies or dietary restrictions, independently verify all ingredients and preparation methods.

7.2 AI Limitations

AI models powering the App:

• May generate inaccurate, incomplete, or misleading information.
• May produce different results for similar queries.
• Are subject to the limitations and biases inherent in large language models.
• May occasionally generate content that is nonsensical or factually incorrect.

We do not guarantee the accuracy, reliability, completeness, or suitability of any AI-generated content.

7.3 Third-Party AI Providers

AI features are powered by third-party AI model providers (including OpenAI and Google). Your use of these features is also subject to the terms and policies of these providers. We are not responsible for the outputs, availability, or performance of third-party AI models.

8. Intellectual Property

8.1 Our Intellectual Property

The App, including its design, code, graphics, interfaces, logos, trademarks, and all related intellectual property, is owned by Culin AI and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the App, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback without obligation or compensation to you.

9. Third-Party Services

The App integrates with third-party services, including:

• Apple App Store / Google Play Store for payments and distribution.
• Google Sign-In for authentication.
• Supabase for authentication and account management.
• RevenueCat for subscription management.
• PostHog for analytics.
• OpenAI and Google (Gemini) for AI processing.

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure.
• Any defects will be corrected.
• AI-generated content will be accurate, complete, or reliable.
• The App will meet your specific requirements.
• The results obtained from the App will be accurate or reliable.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Culin AI, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, use, or goodwill.
• Personal injury or health issues arising from reliance on AI-generated recipes, nutritional information, or dietary suggestions.
• Service interruptions, data loss, or security breaches.
• Errors or inaccuracies in AI-generated content.
• Any unauthorized access to or alteration of your data.
• Loss of locally stored data due to device failure, app uninstallation, or other causes outside our control.

Our total aggregate liability for all claims arising out of or related to these Terms or the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim, or fifty euros (EUR 50), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Culin AI and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your reliance on AI-generated content.

13. Privacy

Your use of the App is also governed by our Privacy Policy, which is also available at https://culin.app/privacy. The Privacy Policy describes how we collect, use, and protect your personal data. By using the App, you consent to the practices described in the Privacy Policy.

14. Modifications to the Service

We reserve the right to:

• Modify, update, or discontinue any feature or aspect of the App at any time.
• Change usage limits, subscription tiers, or feature availability.
• Introduce new features or services, which shall be subject to these Terms.

We will make reasonable efforts to provide notice of material changes. Continued use of the App following such changes constitutes acceptance of the modified Terms.

15. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by:

• Posting the updated Terms within the App and at https://culin.app/terms.
• Updating the "Last Updated" date at the top of this document.
• Providing in-app notification for significant changes.

Your continued use of the App after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App and delete your account.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland and applicable European Union law, without regard to conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the courts of Finland.

16.3 Consumer Dispute Resolution (EU)

If you are a consumer residing in the EU, you may also submit disputes to the Online Dispute Resolution (ODR) platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

16.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access to the App.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Culin AI regarding the App and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party service outages.
